Kambi Group Share Cancellation Strengthens Capital Position

The cancellation of the shares is consistent with the goal to strengthen Kambi’s capital position. Kambi Group has stated that it has finalized the cancellation of 1,374,678 ordinary B shares.

The shares were bought as part of earlier share repurchase programmes, and their cancellation is consistent with Kambi’s goal to improve its capital position. The shareholders authorized the cancelation during Kambi’s Extraordinary General Meeting on November 18, 2024.

Following the cancellation, Kambi’s issued share capital is now €89,711, with a total of 29,903,619 ordinary B shares with a nominal value of €0.003 each.

Kambi Group repurchased 50,000 ordinary B shares as part of its share buyback program.

Between November 13 and 19, Kambi Group repurchased 50,000 ordinary B shares as part of its share buyback programme, as approved by the Extraordinary General Meeting on June 20.

The Programme’s goal is to increase value for Kambi’s shareholders while also providing the Board with greater flexibility in Kambi’s capital structure by decreasing capital. The Programme is carried out in compliance with the Maltese Companies Act, EU Market Abuse Regulation No 596/2014 (“MAR”), and other relevant legislation.

During the Buyback Period, Kambi repurchased 50,000 ordinary B shares for a volume-weighted average price of 105.43 SEK. Kambi has repurchased a total of 104,000 ordinary B shares at a volume-weighted average price of 108.77 SEK per share since the Programme began on November 6, 2024, until November 19, 2024.

Carnegie Investment Bank AB, on behalf of Kambi, completed all acquisitions on the Nasdaq First North Growth Market in Stockholm. Following the acquisitions, Kambi’s holdings of its own shares totaled 1,478,678 as of November 19, with a total of 31,278,297 ordinary B shares issued. Under the Programme, Kambi is authorized to repurchase up to 3,127,830 ordinary B shares for a maximum of €12.0 million.
